I understand that by sharing my story, I am agreeing to CryoLife’s Terms and Conditions and granting CryoLife permission to use my name, story, and other identifying information on the HeartValveInsights.com webpage and in other promotional and marketing materials, communications, and social media posts. I understand that CryoLife is under no obligation to submit any information that I submit, and that CryoLife may edit my story for length, format, or as it otherwise deems reasonable before using my story.

1. APPLICABILITY. These Terms of Use (“Terms”) are between CryoLife, Inc., on behalf of its affiliates, subsidiaries, and representatives (collectively “CryoLife”), and contributors to CryoLife’s “Share Your Story” program (the “Program”) and regard Your participation in the Program, Your submission through the Program website, and CryoLife’s use of Your submission. These Terms include the other guidelines and rules that may be posted by CryoLife on the HeartValveInsights.com website from time to time. 2. YOUR PARTICIPATION. By submitting any information to CryoLife through the Program website, You represent and warrant that:

·       You are at least eighteen (18) years old;

·       You are a resident of the United States or Canada;

·       The content You have provided is true and accurate;

·       You are the sole author of any posted material that You submit; and

·       Use of the material You submit does not violate these Terms, any Agreement You have with any third party, and will not otherwise cause injury to any other person or entity;

3. YOUR SUBMISSION. By submitting information to CryoLife through the Program website, You agree and warrant that You have not submitted any content that:

·       Infringes on the rights of any third party, including any intellectual property, privacy, and publicity rights;

·       Is known by You to be false or misleading;

·       Is unlawful, obscene, or otherwise violates any law, statute, ordinance, or regulation; or

·       Includes any malicious or potentially damaging content or files.

4. LICENSE. For any information that You submit, You grant CryoLife am perpetual, irrevocable, royalty-free, worldwide, transferrable right and license to use, modify, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium, or technology throughout the world without additional consent from or compensation to You. CryoLife shall also have the right to use and grant to others the right to use Your name, likeness, and biographical details to the extent they are included in Your submission. By participating in the Program You acknowledge that Your submission may be used for marketing, publicizing, or otherwise promoting CryoLife’s products and services and that Your information may be disseminated in any medium without geographic or time restriction. By participating You waive any right to royalties or any other compensation for CryoLife’s use and dissemination of the information You submit through the Program website or subsequently provide to CryoLife and hereby assign all rights, including copyright, to that information to CryoLife.

5. PRIVACY. Protecting individual’s privacy is important to CryoLife. The CryoLife Privacy Policy [www.heartvalveinsights.com/privacy-policy] describes the information CryoLife collects and how it uses and protects such information. At any time following submission, You may withdraw Your consent to the use of Your story on a going forward basis and Your information will subsequently be removed from the HeartValveInsights.com Website in accordance with CryoLife’s Privacy Policy.

6. FUTURE CORRESPONDENCE. By submitting information to CryoLife through the Program website You agree that CryoLife and its third party service providers may use Your provided contact information to contact You about Your submission.

7. INDEMNIFICATION. By submitting information to CryoLife through the Program website You agree to indemnify and hold CryoLife, its officers, directors, employees, agents, and third party service providers harmless from any third party claims, damages, losses, liabilities, judgments, costs, or expenses (including reasonable attorneys’ fees) relating to any information You have provided and expressly and voluntarily release and discharge CryoLife, its officers, directors, employees, agents, and third party service providers from and against any and all claims that You now have, or may have in the future, for invasion of privacy, defamation, right of publicity or any other cause of action purportedly arising out of CryoLife’s publication, distribution, broadcast, exhibition or other use or exploitation of the information You have provided.

8. LIMITATION OF LIABILITY. By submitting information to CryoLife through the Program website You agree that in no event shall CryoLife or its officers, directors, employees, agents, and third party service providers be liable to You or any third part for any loss or damage arising out of unauthorized access or alteration of information that You have submitted or any inaccuracies in the summarization or translation of the same.

9. ASSIGNMENT. By submitting information to CryoLife through the Program website You acknowledge that CryoLife’s rights hereunder may be transferred by CryoLife to any transferee or successor who may wish to use, exhibit, broadcast or otherwise exploit any information obtained pursuant to these Terms.
